1. Acceptance of Terms

By accessing or using scatterbranchmarketing.com or the ScatterBranch EcoSystem client portal (collectively, the "Services"), you agree to these Terms of Use and our Privacy Policy. If you do not agree, do not use the Services.

2. Use of the Website

You agree to use scatterbranchmarketing.com for lawful purposes only and in a manner that does not infringe the rights of others. You agree not to upload or transmit viruses, malware, or any harmful code.

3. Client Portal — Authorized Access

The ScatterBranch EcoSystem client portal is a restricted platform available exclusively to authorized clients of ScatterBranch Digital Marketing and ScatterBranch personnel. Access is granted on a per-organization basis.

You agree to:

- Keep your login credentials and magic link emails confidential and not share them with unauthorized individuals

- Access only the data and features assigned to your organization

- Report any suspected unauthorized access to [email protected] immediately

- Use the portal solely for the purposes of reviewing invoices, submitting support requests, accessing deliverables, and viewing reports related to your engagement with ScatterBranch

Unauthorized access attempts, credential sharing, or attempts to access another organization's data are strictly prohibited and may result in immediate account termination and legal action.

4. File Uploads

You may attach files to support tickets subject to the following restrictions: maximum 10 MB per file; permitted file types include images (JPG, PNG, GIF, WEBP), documents (PDF, DOC, DOCX, XLS, XLSX, CSV, TXT), and archives (ZIP). You agree not to upload content that is unlawful, malicious, or infringes third-party intellectual property rights. ScatterBranch reserves the right to remove any uploaded content at its sole discretion.

5. QuickBooks Integration

Invoice and billing data displayed in the portal is sourced directly from Intuit QuickBooks Online on your behalf. ScatterBranch is not responsible for errors or delays in data provided by QuickBooks. Use of QuickBooks data is also subject to Intuit's Terms of Service.

6. Intellectual Property

All content on the website and within the portal (text, graphics, logos, code, design) is owned or licensed by ScatterBranch Ventures LLC and protected by U.S. and international copyright law. You may not reproduce, distribute, or create derivative works without our prior written consent.

7. Disclaimer of Warranties

The Services are provided "as is" without warranties of any kind, express or implied. We disclaim all warranties regarding accuracy, reliability, uninterrupted availability, or fitness for a particular purpose. Invoice data accuracy is dependent on data entered into QuickBooks.

8. Limitation of Liability

To the maximum extent permitted by law, ScatterBranch Ventures LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services, including any reliance on invoice or financial data displayed in the portal.

9. Indemnification

You agree to indemnify and hold harmless ScatterBranch Ventures LLC, its officers, and employees from any claims, damages, or expenses arising from your breach of these Terms or your misuse of the Services.

10. External Links

The Services may contain links to third-party websites. We are not responsible for the content or privacy practices of those sites.

11. Account Termination

ScatterBranch reserves the right to suspend or terminate portal access at any time, with or without notice, for violation of these Terms or upon conclusion of the applicable service agreement.

12. Changes to Terms

We may revise these Terms at any time. The "Last updated" date will be revised accordingly. Continued use of the Services after changes constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any disputes shall be resolved in Hunt County, Texas.
